Dispute resolution case stemming from transfer of assets

The Healys dispute resolution team in London recently acted for a minority shareholder of an estate agency business in relation to a potential claim against the company's directors and other shareholders following the transfer of assets to a connected company.

The matter involved claims for breaches of the directors' fiduciary and statutory duties, and a potential unfair prejudice petition pursuant to s.994 of the Companies Act 2006.

We were able to negotiate a swift resolution of the dispute at the pre-action stage and achieve an excellent result for our client. Robert Johnson (Partner) and Carolyn Wilson (Associate Solicitor) received the following feedback from our client in respect of the service they provided:

"Thank you both for your hard work and persistence in dealing with my litigation matter. It has been an extremely stressful and tough time. However, you guided me through it all and explained every thing in layman's terms.

"I am extremely pleased with the result and believe that it was both of your hard work that turned a very difficult situation into a beneficial one for me. I am glad that I listened to and took your advice.

"Hopefully I will not need your help again!! But if I do, I will be sure to use you, I will of course recommend you to friends and colleagues."

We have extensive expertise in advising clients in respect of disputes with their co-directors, shareholders and partners.
